Anti-Dilution Protection

Anti-dilution provisions adjust preferred holders' conversion price when the company later sells shares at a lower valuation, giving them more common shares on conversion. The adjustment shifts down-round pain from investors to founders and employees. Nearly all venture deals use the milder broad-based weighted average formula; full ratchet is the aggressive variant.
