Priced Round

A priced round is an equity financing in which the company sells a new class of preferred stock at a negotiated valuation, as opposed to raising on convertible instruments. It sets a definitive price per share, converts outstanding SAFEs and notes, and typically establishes or resets the board, option pool, and investor rights. Series A is usually a company's first priced round, though priced seed rounds are common.
