409A Valuation

A 409A valuation is an independent appraisal of a private company's common stock, used to set option strike prices that satisfy IRS rules. It is refreshed at least every twelve months or after a material event like a new round. The 409A price is deliberately conservative and sits well below the preferred price — it is a tax compliance number, not what the company is 'worth' to investors.
