Option Pool (ESOP)

The option pool is equity reserved to grant employees, typically 10-20% of the cap table. Investors usually require the pool to be topped up before the round in the pre-money — the 'option pool shuffle' — so the dilution lands on existing holders rather than new money. Pool sizing should follow the hiring plan to the next round, not a default number.
