Dilution

Dilution is the reduction in an existing holder's ownership percentage when new shares are issued in a round or pool top-up. A typical venture round dilutes existing holders 15-25%, and a founder can expect to give up well over half the company across seed to Series C. For a fund, dilution is why entry ownership erodes without follow-ons — the core problem reserves and pro rata rights exist to solve.
