Vesting

Vesting is the schedule by which founders and employees earn their equity over time, standardly four years with a one-year cliff. It protects the company and its investors from a departing holder walking away with a large stake they didn't build. Investors routinely require founders to re-establish vesting at the first priced round, and single- or double-trigger acceleration terms determine what happens on an acquisition.
