Convertible Note

A convertible note is a loan that converts into equity at the next priced round, usually with a valuation cap and discount. Unlike a SAFE it is real debt: it accrues interest and has a maturity date, at which point it must be repaid, extended, or converted. Notes predate SAFEs and remain common outside Silicon Valley and in bridge financings, where the maturity date gives investors leverage.
