Limited Partnership Agreement (LPA)

The LPA is the governing contract between the GP and the LPs that sets out how the fund operates. It covers economics (management fee, carry, recycling rights), governance (investment restrictions, key person clauses, LP advisory committee rights), and the fund's life and wind-down. It is the single most important document an LP negotiates before wiring a commitment.
