Board Seat
A board seat is a director position at a portfolio company, typically negotiated by the lead investor in a priced round. It carries real governance power — hiring and firing the CEO, approving financings and sale processes — and real fiduciary duties to all shareholders, not just your fund. Board work is also a capacity constraint: a partner can serve well on perhaps eight to ten boards, which quietly limits how many deals a firm can lead.
